Job Overview:
The Legal Analyst position at IFC involves providing comprehensive legal support related to blended finance projects and trust fund operations. The role requires collaboration with internal clients and project lawyers to prepare, review, and negotiate various legal documents, including loan agreements and trust fund administration agreements. The Legal Analyst will also be responsible for ensuring compliance with policies and procedures applicable to blended finance and trust fund operations, as well as developing internal guidance and knowledge management resources. This position is crucial for supporting the IFC's mission of mobilizing private sector solutions and creating sustainable development opportunities in emerging markets. The Legal Analyst will also engage in debt mobilization initiatives, providing legal support for syndications products and liaising with external counsel as necessary. Overall, the role demands a proactive approach to legal challenges and a commitment to supporting the IFC's strategic objectives.

Duties and Responsibilities:
The Legal Analyst will have a diverse set of responsibilities, including:
  • Providing transaction-related legal support for blended finance projects, including preparing, reviewing, and negotiating loan documentation, mandate letters, term sheets, and performance-based initiative side letters.
  • Offering legal support to the Trust Funds unit, which includes preparing and negotiating trust fund administration agreements and providing legal advice in donor relations management.
  • Ensuring compliance with policies and procedures related to blended finance and trust fund operations, working closely with the Compliance & Business Risk Department.
  • Developing internal guidance and knowledge management resources, including written documents and templates to assist CLED staff.
  • Supporting debt mobilization efforts by preparing and negotiating participation agreements, credit insurance policies, and loan agreements.
  • Liaising with external counsel on debt mobilization transactions and responding to ad hoc inquiries.
  • Assisting with administrative coordination within CLED and other IFC departments as needed.
  • Providing legal support on general IFC investment operations and performing ancillary tasks as required.

Required Qualifications:
Candidates must possess a relevant undergraduate university degree or have at least 5 years of relevant paralegal experience in a law firm or financial institution. They should have experience in drafting and reviewing legal documentation, as well as managing projects in cross-border syndications and lending. Strong interpersonal skills, a positive attitude, and excellent communication skills in English are essential. Candidates should demonstrate excellent legal research, problem-solving, analytical skills, and attention to detail. The ability to work independently and as part of a team in a multicultural environment is crucial, along with the capacity to manage multiple tasks under tight deadlines. Proficiency in computer skills, particularly in word processing software and information databases, is also required.

Educational Background:
A relevant undergraduate degree in law or a related field is required for this position. Candidates with advanced degrees or specialized legal training may have an advantage. The educational background should provide a solid foundation in legal principles, particularly those relevant to finance and international law.

Experience:
The position requires at least 5 years of relevant experience, preferably in a law firm or financial institution. Candidates should have a proven track record in drafting and reviewing legal documents, managing projects, and working in cross-border syndications and lending. Experience in blended finance and trust fund operations is highly desirable, as is familiarity with compliance and risk management in a legal context.

Languages:
Fluency in English is mandatory for this position, as it is the primary language of communication within the organization. While not required, proficiency in additional languages may be considered an asset, particularly if they are relevant to the regions in which IFC operates.
