Job Overview:
The position of ET Consultant - Counsel Corporate Governance is situated within the Regulations and Governance Department (CRG) of IFC, which is part of the Legal and Governance Vice-Presidency (CLSVPU). This department is tasked with establishing business standards and providing essential advice and guidance to the IFC Board, Management, and various business teams regarding non-financial business risks associated with IFC's investments, advisory work, and corporate functions. The consultant will play a crucial role in supporting the implementation and process automation of IFC’s Directorship Policies and Practices, as well as managing conflicts of interest and developing mitigation plans for directorships. The consultant will report directly to the ND Center Counsel and will be based at IFC Headquarters in Washington, DC.

Duties and Responsibilities:
The ET Consultant will be responsible for a variety of tasks related to the activities of the ND Center, including but not limited to:
  • Directorship Nominations and Advisory Committee Appointments: Providing support with the review and approval of director nominations, observer and advisory committee member appointment memos; offering case-specific guidance to investment teams on compliance with internal policies regarding nominee directors and candidates; identifying jurisdiction-specific limitations related to board appointments and fiduciary duties.
  • Conflict of Interest Reviews and Mitigation: Conducting thorough conflicts of interest analyses for nominees and drafting necessary conflict of interest mitigation plans; developing guidelines to facilitate the identification and mitigation of conflicts of interest.
  • Automation & Reporting: Monitoring and reporting on policy waivers and exceptions to internal policies; tracking directorship management data gaps; identifying necessary IT Directorship system updates for improved efficiencies and alignment with policy updates; assisting in the design and implementation of processes, documentation, and reporting automation initiatives using tools such as Copilot suite and PowerBI.
  • Learning & Knowledge Events: Assisting with webinars and events that promote knowledge-sharing; compiling guidance notes for investment teams and nominee directors; supporting the rollout of policy updates and improving templates; ensuring timely availability of jurisdiction-specific directorship questionnaires.

Required Qualifications:
Candidates must possess a law degree (JD/LLM) or relevant education in corporate law, along with at least 5 years of relevant experience at a law firm, in private equity or asset management, or at an international financial institution. Experience should particularly involve working with equity investments and investment stewardship. The ideal candidate will demonstrate the ability to take on assignments and initiatives related to legal and compliance matters, possess familiarity with data and AI tools, and have experience in systems and process automation. A strong understanding of risk assessment and the ability to make fair, well-reasoned, and transparent decisions is essential. Familiarity with IFC’s operations and policies is also required, along with excellent communication and interpersonal skills in English, strong analytical and problem-solving abilities, and good business judgment.

Educational Background:
The educational background required for this position includes a law degree (JD or LLM) or an equivalent qualification in corporate law. This educational foundation is critical for understanding the complexities of corporate governance, legal compliance, and the regulatory environment in which the IFC operates.

Experience:
The position requires a minimum of 5 years of relevant experience. This experience can be gained through work at a law firm, in private equity or asset management, or within an international financial institution. Candidates should have a strong background in equity investments and investment stewardship, demonstrating their ability to navigate the legal and compliance landscape effectively.

Languages:
The mandatory language for this position is English, which is essential for communication and documentation within the organization. While not required, proficiency in additional languages may be considered a valuable asset, particularly if it enhances the candidate's ability to engage with diverse stakeholders across different jurisdictions.

Additional Notes:
This position is offered on an extended term consultant contract (ETC) basis for a duration of one year, with the possibility of renewal. The recruitment is classified as local, meaning that candidates should ideally be based in the Washington, DC area.
