Job Overview:
In this role, the Legal Governance and Risk Management Coordinator will be an integral part of the Legal Department, focusing on corporate governance matters for Mercy Corps Boards and affiliates. The position involves ensuring compliance with various regulatory frameworks and coordinating the organization's policy framework while managing enterprise risk management workstreams. The successful candidate will be expected to provide structured planning and advisory support to facilitate the efficient operation of governance and risk processes. This role requires strategic thinking, excellent writing skills, and a high level of discretion to manage projects effectively. The coordinator will work closely with the General Counsel and other key stakeholders, proactively identifying opportunities for process improvement and adapting to changing needs and circumstances. Strong organizational and interpersonal skills are essential, as the role involves managing competing priorities and ensuring effective communication across multiple teams and geographies.

Duties and Responsibilities:
The essential responsibilities of the Legal Governance and Risk Management Coordinator include maintaining and advising on compliance with corporate charity regulatory frameworks for the US, UK, and Netherlands, including IRS, OSCR, KvK, and Companies House. The coordinator will support annual reporting and manage regulatory filings, develop and maintain governance-related documents, processes, and reports, and advise stakeholders on governance requirements. Additionally, the coordinator will oversee Mercy Corps' policy management framework, support the Legal Department's governance oversight for other entities and affiliates, coordinate Board and Committee minutes, and assist with corporate secretarial responsibilities. In terms of enterprise risk management, the coordinator will implement the Enterprise Risk Management Framework, coordinate workstreams of the ERM Committee, and partner with stakeholders to develop and implement risk tools and processes. The role does not include supervisory responsibilities but requires accountability to the General Counsel and collaboration with various teams.

Required Qualifications:
The position requires a BA/S in Law, Governance, Business Management, or a related field, with a strong preference for candidates with 3+ years of experience supporting in-house legal teams, the legal profession, or risk management. Candidates should possess knowledge of applicable UK, Dutch, and US laws and regulations related to governance and risk management, including compliance and audit requirements. Excellent writing and organizational skills are essential, along with a good understanding of key risk areas for international NGOs. The ability to communicate effectively with diverse stakeholders and influence various teams is crucial, as is the capacity to proactively identify and solve complex problems. Candidates must demonstrate proficiency with MS Office software (Outlook, Word, Excel, PowerPoint).

Educational Background:
Candidates are expected to have a BA/S in Law, Governance, Business Management, or a related field. This educational background is highly preferred as it provides the foundational knowledge necessary for understanding the complexities of governance and risk management in an international NGO context.

Experience:
The role requires a minimum of 3 years of relevant experience, ideally in supporting in-house legal teams, the legal profession, or risk management. This experience should include familiarity with governance and compliance issues, particularly in the context of international NGOs, and the ability to navigate complex regulatory environments.

Languages:
While the job description does not specify mandatory languages, proficiency in English is essential given the international nature of the organization. Additional languages may be beneficial, particularly those relevant to the countries in which Mercy Corps operates, but are not explicitly required for this position.

Additional Notes:
The job does not specify a contract duration or seniority level, but it is implied that the position is full-time. Mercy Corps is committed to equal employment opportunities and actively engages in safeguarding and ethical practices.
