Job Overview: The (Senior) Counsel - Structured Finance position at IFC involves providing legal and policy advice to support the delivery of IFC’s annual program of financing private sector projects in emerging markets. The role is critical in advising on structured finance products, sub-national lending, equity, and quasi-equity investments, as well as public-private partnerships. The successful candidate will be responsible for managing legal aspects of new and portfolio investments, particularly in the Financial Institutions Group (FIG) and structured finance sectors. This position requires a deep understanding of complex financial transactions and the ability to navigate the legal landscape of emerging markets. The Counsel will work closely with various stakeholders to identify opportunities for private sector investments and ensure compliance with legal standards while promoting innovative financial solutions.
Duties and Responsibilities: The primary responsibilities of the (Senior) Counsel include:
Assume primary lawyer responsibility for new and portfolio investments and advisory services, focusing on FIG and structured finance.
Provide legal advice and support to FIG investment clients on debt products, including capital market transactions and structured finance products.
Prepare, review, and negotiate legal documentation for FIG transactions, including loan agreements and risk participation agreements.
Oversee legal analysts in preparing documentation based on standardized terms and conditions.
Collaborate with FIG client departments to identify and assess new opportunities, advising on project design and implementation.
Develop know-how solutions and training for FIG departments and CLED.
Advise on institutional and corporate matters, including the selection and management of outside counsel.
Provide general legal support across all aspects of IFC business related to structured finance and trade finance transactions.
Required Qualifications: Candidates must possess at least 8 years of relevant experience in transactions within a law firm, international financial institution, or development institution. They should have demonstrated expertise in cross-border emerging markets finance, corporate loans, structured finance, and trade finance. Hands-on experience with structured finance products and trade finance solutions is essential. Familiarity with IFC’s structured finance products and programs is preferred. Candidates should also have experience in knowledge management and the ability to handle complex corporate and commercial transactions independently. Strong interpersonal skills and the ability to work effectively in a multicultural environment are crucial.
Educational Background: A Juris Doctor (JD) or equivalent law degree is required for this position. Candidates should have a strong academic background in law, with a focus on finance, corporate law, or international law being advantageous. Additional certifications or qualifications in finance or related fields may be beneficial.
Experience: The ideal candidate should have a minimum of 8 years of relevant experience in legal practice, particularly in structured finance and trade finance. Experience working in cross-border transactions and familiarity with emerging markets is essential. Candidates should demonstrate a proven track record of managing complex legal issues and providing strategic legal advice in a fast-paced environment.
Languages: Fluency in English is mandatory for this position. Proficiency in additional languages, particularly those relevant to the regions where IFC operates, would be considered an asset, enhancing the candidate's ability to engage with diverse stakeholders.
