Job Overview:
The position of Counsel or Senior Counsel within the Legal Department of IFC (CLED) is pivotal in providing legal and policy advice to the IFC Board, Management, and client departments on various operational, advisory, and corporate matters. The role focuses on supporting two key legal practice areas: the Transaction Advisory Department (CTA), which includes PPP Advisory and Corporate Finance Advisory, and IFC’s Blended Finance operations. The successful candidate will be responsible for advising on legal matters related to private sector projects in emerging markets, assisting in the delivery of IFC’s annual financing program, and managing legal aspects of project portfolio management. This role requires a proactive approach to identifying opportunities for private sector investments and creating markets, as well as a commitment to knowledge management and training within the organization.

Duties and Responsibilities:
The Counsel or Senior Counsel will have a diverse set of responsibilities, including: supporting the CTA Department, particularly the PPP Advisory team and Corporate Finance Advisory team, in addressing key legal matters related to their business operations; providing legal advice on PPP project design and implementation, asset monetization transactions, and corporate finance services; assisting in the management of IFC’s Blended Finance operations, including advising on donor-funded resources and internal approval procedures; acting as project lawyer on investment transactions as needed; collaborating with client departments on the design and implementation of Upstream projects; mentoring and coaching colleagues; designing and delivering training sessions for CLED staff and external partners; advising on institutional and corporate matters; and managing relationships with outside counsel and legal costs.

Required Qualifications:
Candidates must possess a law degree and have a minimum of 8-15 years of relevant experience in a law firm or in-house corporate setting, particularly in corporate and transactional law. Experience in public-private partnerships, infrastructure projects, project finance, privatizations, advisory services, blended finance, and donor funding is essential. A proven track record of independently handling complex corporate and commercial transactions and providing strategic advice on structuring and policy matters is required. Candidates should demonstrate excellent legal analytical skills, responsiveness, reliability, sound judgment, and a positive work attitude. The ability to manage multiple roles and tasks effectively, assess risks responsibly, and make transparent decisions is crucial.

Educational Background:
A Juris Doctor (JD) or equivalent law degree is required for this position. Candidates should have a strong academic background in law, with a focus on corporate, transactional, and international law being advantageous. Additional certifications or qualifications in relevant fields such as finance or public policy may enhance a candidate's profile.

Experience:
The ideal candidate should have extensive experience, typically between 8 to 15 years, in legal practice, particularly in corporate law, transactional law, and public-private partnerships. Experience working in international settings or with development institutions is highly desirable. Candidates should have a demonstrated ability to navigate complex legal environments and provide sound legal advice in high-stakes situations.

Languages:
Fluency in English is mandatory for this position, as it is the primary language of communication within the organization. Proficiency in additional languages, particularly those relevant to the regions where IFC operates, would be considered an asset but is not required.
