Job Overview: The Transaction Support Officer position is situated within the Private Sector Operations Department (PSOD) at ADB, specifically in the Transaction Support Division (PSTS). The role is crucial for supporting the Corporate Governance Due Diligence (CGDD) activities related to PSOD's projects, portfolio, and programs. The officer will be responsible for operational and administrative functions that ensure the effective execution of CGDD in alignment with ADB's guidelines for non-sovereign operations. This position requires a proactive approach to managing stakeholder relationships, conducting thorough due diligence assessments, and providing technical inputs based on findings. The officer will also be involved in drafting action plans, overseeing third-party governance specialists, and contributing to the development of knowledge products that enhance corporate governance practices within PSOD projects. Duties and Responsibilities: The Transaction Support Officer will have a comprehensive set of responsibilities, including:
Overseeing engagement and coordination with PSOD deal teams for corporate governance due diligence across various projects.
Conducting in-depth due diligence exercises and assessments for both pipeline and portfolio projects, providing analysis" style="border-bottom: 1px dotted #007bff !important;">technical analysis and operational support based on findings.
Drafting action plans and recommendations from due diligence exercises and presenting them to relevant stakeholders.
Managing the selection and evaluation of third-party governance specialists for specific tasks related to due diligence.
Directing and supervising the work of third-party specialists, ensuring alignment with ADB's policies and best practices.
Preparing template corporate governance policies for client reference and use.
Contributing to the formulation and updates of PSOD policies and procedures involving corporate governance elements.
Supporting the development of knowledge products through research, interviews, and drafting processes.
Collaborating with other workstreams and providing support for extended annual review processes that may involve corporate governance improvements. 1
Performing other duties as assigned in the work plan.
